NDA: what it is and why a non-disclosure agreement is needed

A non-disclosure agreement between a company and an employee or contractor specifying which information is considered a trade secret. It includes validity periods and penalties for disclosure.

Types of NDA:

  • Unilateral - protection of data by one party only (for example, an IT company and a contractor);

  • Bilateral - both parties agree to keep each other’s trade secrets confidential.
